Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of Clorvia, a cloud GST billing, invoicing and accounting service operated by EvolvePro Tech Solutions Pvt. Ltd. ("Clorvia", "we", "us" or "our"). Clorvia is available at https://clorvia.com, with the application at app.clorvia.com. Please read these Terms carefully before using the service. They form a binding agreement between you (and the business you represent) and us.

Acceptance of terms
By creating an account, starting a free trial, subscribing to a plan, or otherwise accessing or using Clorvia (the "Service"), you agree to be bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy. Together these form the complete agreement between you and us.
If you do not agree to these Terms, do not access or use the Service.
These Terms apply to every user of the Service, including the account owner, administrators, and any team members you invite. You are responsible for ensuring everyone who uses your account follows these Terms.
Eligibility & authority
To use the Service you must be at least 18 years old and competent to enter into a contract under the Indian Contract Act, 1872. The Service is not intended for, and may not be used by, persons under 18 (treated as children under the Digital Personal Data Protection Act, 2023).
If you create or use an account on behalf of a business, firm, company, or other organisation, you confirm that you are authorised to bind that organisation to these Terms. In that case "you" means both you personally and that organisation.
You confirm that the information you provide at sign-up and afterwards (including business name, GSTIN, address, and contact details) is true, current, and complete, and that you will keep it updated.
Account & security
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account, whether or not you authorised it.
You must notify us promptly at support@clorvia.com if you suspect any unauthorised access to or use of your account, or any other security breach.
- You control which team members you invite and what access you give them. You are responsible for their actions on the Service and for promptly removing access when it is no longer needed.
- You agree to use strong, unique passwords and to enable any additional security measures we make available.
Subscriptions & billing
Clorvia is offered on subscription plans. The features, limits, and prices of each plan are shown at sign-up and on our pricing page, and may differ by plan.
All fees are stated and charged in Indian Rupees (₹) and are exclusive of taxes. Goods and Services Tax (GST) at 18% (or the rate then in force) will be added and shown on your tax invoice.
Free trial: new accounts may receive a 14-day free trial. Unless you cancel before the trial ends, your subscription automatically converts to a paid plan and the applicable fees (plus GST) will be charged using your selected payment method.
- Auto-renewal: paid plans renew automatically at the end of each billing cycle at the then-current price, until you cancel. You authorise us and our payment partners to charge your payment method on each renewal.
- Payments are processed through Razorpay and supported methods such as UPI, cards, and net banking, subject to those providers’ terms and to RBI norms (including e-mandate / recurring-payment rules).
- Price changes: we may change plan prices or features with reasonable advance notice (for example, by email or in-app); changes take effect from your next renewal.
Refunds and cancellations are governed entirely by our Refund & Cancellation Policy, which forms part of these Terms.
Your data
As between you and us, you own all data, content, and records you create, upload, or store in the Service, including your customer details, invoices, items, and accounting entries ("Your Data").
You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, display, and process Your Data solely to operate, maintain, secure, and improve the Service and to provide it to you. This licence ends when Your Data is deleted from our systems, except for copies retained as required by law or in routine backups.
You are responsible for the accuracy, quality, and legality of Your Data and for having the necessary rights and consents to provide it to us, including consent from any individuals whose personal data it contains.
Our collection and use of personal data is described in our Privacy Policy. We process personal data in line with the DPDP Act 2023, the IT Act 2000 and the SPDI Rules 2011, and, for users in the EU, the GDPR.
Acceptable use
You agree to use the Service only for lawful business purposes and in compliance with all applicable laws, including the Information Technology Act, 2000 and rules made under it.
You must not:
- use the Service to create false, fraudulent, or misleading invoices, records, or tax documents, or for money laundering, tax evasion, or any unlawful purpose;
- upload or transmit any content that is unlawful, infringing, defamatory, obscene, or that violates another person’s rights;
- introduce viruses or malware, or attempt to gain unauthorised access to the Service, other accounts, or our systems;
- copy, reverse-engineer, decompile, resell, sublicense, or create derivative works of the Service except as permitted by law;
- probe, scan, overload, disrupt, or interfere with the Service, or bypass any usage limits or security measures.
We may investigate suspected violations and may remove content or restrict use to protect the Service and our users.
GST & tax disclaimer
Clorvia is a software tool that helps you prepare invoices, compute taxes, and maintain accounting and GST-related records. It does not provide tax, accounting, legal, or professional advice.
You remain solely responsible for your own GST and tax compliance, including the correctness of your GSTIN, HSN/SAC codes, tax rates, place of supply, returns, filings, payments, and any e-invoice (IRN) or e-way bill generation, and for meeting all applicable deadlines.
While we work to keep the Service current, we do not warrant that any calculation, classification, or output is accurate, complete, or suitable for your specific situation. You should verify all outputs and consult a qualified professional (such as a Chartered Accountant) before relying on them.
We are not responsible for any penalty, interest, demand, loss, or liability arising from your tax positions, filings, errors, or non-compliance.
Intellectual property
The Service, including its software, design, text, graphics, logos, the "Clorvia" name and brand, and all related intellectual property, is owned by us or our licensors and is protected by Indian and international law.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your subscription, subject to these Terms. No other rights are granted.
You must not use our name, logos, or trademarks without our prior written permission. If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them to improve the Service.
Availability & warranties
The Service is provided on an "as is" and "as available" basis. We aim to keep it available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or secure at all times.
We may carry out maintenance, updates, or changes to the Service, and may suspend access temporarily where reasonably necessary. We will try to give advance notice of planned downtime where practical.
To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in these Terms excludes or limits any rights or remedies you may have as a consumer under the Consumer Protection Act, 2019, or any other liability that cannot be excluded under applicable law.
Liability & indemnity
To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, business, or data, arising out of or in connection with the Service.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service will not exceed the total subscription fees you actually paid to us in the twelve (12) months immediately before the event giving rise to the claim.
You agree to indemnify and hold us, our directors, employees, and agents harmless from any claims, damages, losses, liabilities, and reasonable expenses (including legal fees) arising from your misuse of the Service, your breach of these Terms or applicable law, or from Your Data or your tax/compliance positions.
These limitations do not apply to liability that cannot be limited or excluded under applicable Indian law.
Suspension & termination
You may cancel your subscription or close your account at any time, as described in the Refund & Cancellation Policy. Cancellation stops future renewals; access continues until the end of your paid period unless stated otherwise.
We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay fees due, use the Service unlawfully, or where reasonably necessary to protect the Service, other users, or to comply with law.
On termination, your right to use the Service ends. We will make Your Data available for export for a reasonable period and may then delete it, except where retention is required by law. You remain responsible for keeping your own copies of records you need for GST, accounting, or other legal purposes.
Clauses that by their nature should survive termination (including data, intellectual property, disclaimers, liability, indemnity, and governing law) will continue to apply.
Governing law
These Terms and any dispute arising out of or in connection with them or the Service are governed by and construed in accordance with the laws of India.
Subject to applicable law, the courts at [Registered office: city, State] shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
Nothing in this clause limits any statutory rights or remedies available to you as a consumer under the Consumer Protection Act, 2019.
Changes & contact
We may update these Terms from time to time. When we make material changes, we will notify you (for example, by email or in-app) and update the "last updated" date. Continuing to use the Service after changes take effect means you accept the updated Terms.
